These Terms of Service (“Terms”) govern your use of vibe-muse.com and the services provided by Vibe Muse LLC. By using the website or engaging our services, you agree to these Terms.
1. Company information
Vibe Muse LLC, a Delaware limited liability company

2. Our services
Vibe Muse provides, in particular:
- Design and development of e-commerce stores on WooCommerce, Shopify and similar platforms.
- E-commerce operations management: order processing, customer support and after-sales, catalog and content updates.
- Sourcing management: supplier research and vetting, negotiation, samples, production follow-up, quality control and shipping coordination.
- Advertising and conversion optimisation, including Google Shopping campaigns and reporting.
The precise scope, deliverables, timeline and fees of each engagement are set out in a written proposal or service agreement. If that agreement conflicts with these Terms, the agreement prevails.
3. Use of this website
You agree not to:
- attempt to gain unauthorised access to the website or interfere with its operation;
- copy, scrape or reuse its content in bulk without our written permission;
- send malicious code, spam or unlawful content through our forms;
- impersonate another person or provide false information.
We may restrict access to anyone who breaches these rules.
4. Client engagements
- Proposals are valid for 30 days unless stated otherwise.
- Work starts once the proposal or agreement has been signed or confirmed in writing and any initial payment has been received.
- Client responsibilities: you provide accurate information, timely feedback and approvals, and the access needed (platform accounts, hosting, supplier contacts). Delays on your side may move the timeline.
- Changes in scope must be agreed in writing and may change fees and deadlines.
- Sourcing: purchase orders are placed in the client’s name or on its explicit approval. Suppliers remain independent third parties; we select and monitor them with care but are not the manufacturer or seller of the goods.
5. Fees and payment
- Fees are quoted in US dollars or euros, as stated in the proposal, and exclude applicable taxes.
- Project fees are invoiced according to the milestones of the proposal. Recurring services are invoiced monthly in advance.
- Invoices are payable within 15 days of receipt unless agreed otherwise.
- We may suspend services if an invoice remains unpaid after a written reminder.
- Fees for work already performed are non-refundable, except where required by law or agreed in writing.
- Third-party costs (platform subscriptions, themes, apps, advertising budgets, samples, goods and shipping) are paid by the client, directly or on re-invoicing.
6. Intellectual property
- The content and branding of vibe-muse.com belong to Vibe Muse LLC.
- Once paid in full, custom deliverables created specifically for a client (designs, code, content) belong to the client.
- We keep ownership of our pre-existing tools, templates and know-how, and grant the client a non-exclusive, perpetual licence to use them as part of the deliverables.
- Third-party components (themes, plugins, apps, fonts) remain subject to their own licences.
- Unless the client objects in writing, we may mention the client’s name and show the public store in our portfolio.
7. Confidentiality
Each party keeps confidential the non-public information received from the other during an engagement (business data, customer data, supplier terms, credentials) and uses it only for that engagement. This obligation continues after the engagement ends.
8. Warranties and disclaimers
We perform our services with reasonable skill and care, in line with good industry practice. Except as expressly stated in a service agreement, the website and services are provided “as is”. We do not guarantee uninterrupted operation of third-party platforms, specific sales or advertising results, or that third-party services will remain available on the same terms.
9. Limitation of liability
To the extent permitted by law, our total liability arising out of or relating to an engagement is limited to the fees paid by the client for the services concerned during the 12 months preceding the claim. We are not liable for indirect or consequential losses, such as loss of profit, revenue, data or goodwill. Nothing in these Terms excludes liability that cannot be excluded by law.
10. Third-party platforms and links
We work with platforms and providers such as Shopify, WooCommerce/WordPress, payment processors, carriers, advertising networks and suppliers. We are not responsible for their availability, policies or changes. Links to external websites are provided for convenience only.
11. Term and termination
- Either party may terminate an engagement for material breach that is not remedied within 15 days of written notice.
- Recurring services may be terminated by either party with 30 days’ written notice, unless the service agreement states otherwise.
- On termination, fees for work performed remain payable and we hand over the client’s accounts, files and credentials. Clauses on intellectual property, confidentiality, liability and governing law survive termination.
12. Force majeure
Neither party is liable for a delay or failure caused by events beyond its reasonable control, such as natural disasters, epidemics, government action, strikes, transport disruptions, or outages of the internet or of third-party platforms.
13. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law rules. The parties will first try to resolve any dispute in good faith. Failing that, disputes will be submitted to the competent state or federal courts located in Delaware, unless mandatory consumer protection rules of your country provide otherwise.
14. Changes to these Terms
We may update these Terms. The current version is published on this page. Changes do not affect engagements already signed unless both parties agree.
